1. Scope of Content

Through the Site, you have access to: (a) software and software as a service offerings (“Software”); (b) operational data, analytics, templates, and documentation (“Materials”); and (c) integrated communication tools and support functions (“Community Services”). These are collectively referred to as “Content.”

2. Terms Applicable to Specific Content

Certain areas of ROWB may be governed by additional license agreements or service level agreements (SLAs). In the event of a conflict between these Legal Terms and a signed Service Agreement between your organization and Infinivate, the terms of the specific Service Agreement shall prevail.

3. Use of Software and Materials

Your right to use ROWB Software and Materials is subject to the following:

• Business Use: Content may be used solely for the internal business operations of the licensed entity.
• No Modification: You may not reverse engineer, modify, or alter the Software or Materials.
• No Redistribution: You may not sell, sublicense, or redistribute the Content to third parties without express written consent from Infinivate.

4. Community Services and Conduct

Community Services are provided for professional collaboration. You agree not to use these services to:

• Share confidential information of third parties without authorization.
• Post defamatory, derogatory, or unlawful material.
• Collect personal data of other users in violation of the Protection of Personal Information Act (POPIA).

5. Intellectual Property Rights

The Site and all Content are the exclusive intellectual property of Infinivate (Pty) Ltd. All rights not expressly granted are reserved. Unauthorized use of our trademarks, including "The Restaurant Operations Workbench" and "ROWB," is strictly prohibited.

6. Security and Account Integrity

You are responsible for maintaining the confidentiality of your login credentials. You agree not to:

• Share your password or account access with unauthorized individuals.
• Use automated means (robots, scrapers) to access the Site without permission.
• Engage in activity that overburdens or impairs the infrastructure of the ROWB platform.

7. Indemnity and Liability

You agree to indemnify Infinivate against any claims or losses arising from your breach of these terms or the unauthorized Sharing of Content.

Disclaimer: Content is provided on an “As Is” basis. While we strive for accuracy in our analytics and reporting, Infinivate makes no warranties regarding the absolute accuracy or reliability of results for specific financial or operational decisions.

Limitation: To the extent permitted by South African law, Infinivate shall not be liable for any indirect or consequential damages, including loss of profits or data, arising from your use of the platform.

8. Monitoring and Compliance

Infinivate reserves the right to monitor the use of the Site to ensure compliance with these terms and to protect the security of our systems. We may remove any Content that violates South African law or these terms without prior notice.

9. Privacy and Data Protection

Infinivate is committed to the lawful processing of personal and business data. All data collected through the Site is managed in accordance with our Privacy Policy and POPIA. Utilization data may be processed to improve service delivery, subject to the protections outlined in our policy.

10. Applicable Law and Jurisdiction

These Legal Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa.

Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the High Court of South Africa. Infinivate (Pty) Ltd elects its registered office in South Africa as its domicilium citandi et executandi for all purposes under this agreement.

11. Termination

Infinivate may, at its sole discretion, terminate or limit your access to ROWB if we determine you have violated these terms, infringed on intellectual property rights, or breached any applicable laws.
