The Restaurant Operations Workbench (ROWB) Terms of Use

Welcome to The Restaurant Operations Workbench (ROWB) application and associated websites (collectively, the “Site”). ROWB is the proprietary Intellectual Property of Infinivate (Pty) Ltd (“Infinivate”), a company incorporated in accordance with the laws of the Republic of South Africa.

Through the Site, you have access to a variety of resources and content. These include: (a) software and software as a service offerings (“Software”); (b) data, text, images, graphics, and documents such as product manuals (“Materials”); and (c) communication functions and other services in connection with which you can upload, download, share, or otherwise make available Content (as defined below) (“Community Services”). Software, Materials, Community Services, and other information are collectively referred to as “Content.”

By accessing or using the Site or Content, you agree to follow and be bound by these terms and conditions (“Terms of Use”) and our Privacy Policy, which can be found at https://infinivate.co.za/privacy-policy/. Infinivate may revise these Terms of Use and the Privacy Policy at any time without notice. The revised versions will be effective when posted.

1. Terms Applicable to Specific Content

Some areas of the Site or specific Content may have additional rules or license agreements (e.g., a Master Services Agreement). If there is a conflict between these Terms of Use and those specific agreements, the latter shall take precedence regarding your use of that area or Content.

2. Use of Software

Your use of Software is subject to all agreements, such as a license agreement or user agreement, that accompanies the Software or is part of your ordering process (“License Terms”). If Software is provided without specific License Terms, it may be used solely for your internal informational purposes, may not be modified, and may not be redistributed.

3. Use of Materials

You may view and print Materials that Infinivate publishes on the Site subject to: (a) the Materials being used solely for your internal, informational, non-commercial purposes; (b) the Materials not being modified in any way; and (c) the Materials not being redistributed.

4. Reservation of Rights

The Site and Content are the intellectual property and copyrighted works of Infinivate (Pty) Ltd or its third-party providers. All rights, title, and interest not expressly granted are reserved. All Content is provided on an “As Is” and “As Available” basis.

5. Your Content

You agree that you will only Share Content that you have the right and authority to provide. By Sharing Content (excluding sensitive operational data protected by specific Service Agreements), you grant Infinivate a worldwide, royalty-free, non-exclusive license to use, host, and display that Content for the purpose of providing the ROWB services.

You agree not to Share Content that:

Is false, misleading, defamatory, or harassing.
Invasion of privacy or violation of the Protection of Personal Information Act (POPIA).
Contains viruses or any components designed to limit the functionality of the Software.

6. Security and Access

Access to password-protected areas is restricted to authorized users. You are responsible for maintaining the confidentiality of your password and account information. You agree to notify Infinivate immediately of any unauthorized use of your account.

7. Indemnity

You agree to indemnify and hold harmless Infinivate (Pty) Ltd, its officers, and employees from and against any claims, liabilities, or damages arising out of Content you Share or your violation of these Terms of Use.

8. Termination of Use

Infinivate may, in its sole discretion, at any time terminate or limit your access to the Site or any Content. Infinivate shall not be liable to you or any third party for any termination of access.

9. Disclaimer

EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE, THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” BASIS. INFINIVATE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

IN NO EVENT SHALL INFINIVATE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA) INCURRED BY YOU OR ANY THIRD PARTY, ARISING FROM YOUR ACCESS TO OR USE OF THE SITE.

11. Privacy Policy

Infinivate is committed to protecting your privacy in accordance with South African law, including POPIA. Please refer to our Privacy Policy at https://infinivate.co.za/privacy-policy/ for details on how we collect and process your data.

12. Persons Not of Age of Majority

ROWB is a professional business application. Persons who are not of the age of majority (under 18 in South Africa) are not eligible to use the Site.

13. Applicable Laws and Domicilium

All matters relating to your access to, and use of, the Site and Content shall be governed by the laws of the Republic of South Africa.

Infinivate (Pty) Ltd chooses as its domicilium citandi et executandi (official address for legal service and notices) its registered office in South Africa. Any legal action or proceeding relating to these Terms shall be instituted in the High Court of South Africa (Gauteng Division).
